Certificate Statements of Withdrawal, Dissolution, and Good Standing

Please see the below information with regards to certification statements of withdrawal, dissolution, or good standing.

If not already filed with the NH DRA, attach your Final NH Business Tax returns with copies of all federal pages as filed with the IRS for the period that includes the last date of business in NH. The following must be included with your request:

  • A statement addressing the disposition of all NH assets.  
  • A copy of the plan of liquidation, Federal Form 966, if applicable.

If not already filed with the NH DRA, attach your Final NH Business Tax returns, including copies of all federal pages, as filed with the IRS for the period that includes the last date of business in NH. The following must be included with your request:

  • Forms 4797 and 6252 if not included with your federal return.
  • Minutes of the Board of Directors meeting authorizing the dissolution. 
  • A plan of liquidation. 
  • A schedule detailing the distribution of all NH assets. 
  • Federal Form 966, if a corporation. 

To receive a statement of good standing from the department, all required tax returns, including copies of federal pages as filed with the IRS must be up to date, and any tax liabilities paid in full.

You can also download form AU-22, Certification Request, from our Forms page under Other DRA  Forms, and mail it directly to:

Taxpayer Services Division, PO Box 637 Concord NH 03302 with the required fee. 

Approximate response time from receipt of your completed request is 60 days for a Certification Statement of Dissolution or Withdrawal, and approximately 30 days for a Certification Statement of Good Standing.
